Terms and Conditions
Last updated: August 12, 2026 · Version 2026-08-12
Welcome to Vendariz! These Terms and Conditions (“Terms”) govern your access to and use of the Vendariz platform, including our website, web application, mobile applications, and any related services (collectively, the “Service”). Vendariz is a registered trade name (“DBA”) of Vendoza LLC (“Company”, “we”, “our”, or “us”), which operates the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Vendariz is currently in an invite-only beta. There is no public sign-up. You are reading these Terms either because you have been invited or because you are deciding whether to ask for an invitation — Sections 1 through 3 describe what that means. If we open the Service to general registration, we will revise these Terms and update the date above.
1. Beta Program
The Service is currently in a beta testing phase. By using the Service during this period, you acknowledge and agree that:
- The Service may contain bugs, errors, or incomplete features.
- We may collect usage data and feedback to improve the product and operate our business (see our Privacy Policy for details).
- Features may be added, modified, or removed at any time without notice.
- The Service is provided on an “as-is” and “as-available” basis during beta.
- We do not guarantee uptime, data preservation, or uninterrupted access during the beta period.
- Access is granted, and can be withdrawn. Participation in the beta is by invitation (Section 2). We may end the beta, change who may take part in it, or withdraw your access, at any time and without cause. If we withdraw access to a paid account other than for a breach of these Terms, we will refund the unused portion of the current billing period.
Nothing in this section limits the specific commitments we make to paid subscribers in Section 5, or any right you have under applicable law.
2. Eligibility and How Access Is Granted
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using the Service, you represent that this is accurate and that you are authorized to use the Service on behalf of any business entity you register or are invited into.
Access is by invitation only. During the beta there is no self-service registration: no page of the Service accepts a new sign-up, and we do not offer sign-in through any third-party identity provider. There are exactly two ways to obtain an account:
- We create it. We create an account for you and send you an invitation to set your own password.
- An existing Vendariz business account invites you as a teammate, under Section 4.
Asking for access is not the same as having it. You may submit a request through the early-access form on our website. Doing so does not create an account, does not entitle you to one, and creates no obligation on our part to grant, respond to, or explain a decision about one. If we decide to onboard you, you will receive an invitation and one of the two paths above applies.
An invitation is personal to the email address it was sent to, is not transferable, and confers no right to continued access. We may decline to issue one, and may revoke an unaccepted one, for any reason or none. Attempting to obtain access other than through an invitation — including by registering an account on someone else’s behalf without their authority, or by circumventing any technical control on account creation — is a breach of Section 6.
3. Accounts and Security
Accounts are created and authenticated through Amazon Cognito, our identity provider. You accept your invitation at a single-use link, which expires seven (7) days after it is sent, and set a password there; the email address the invitation was sent to becomes your sign-in identifier and cannot be changed at that step. We never see your password.
You agree to:
- Provide accurate, current, and complete information when you set up your account.
- Maintain the security of your account credentials and not share them.
- Immediately notify us at support@vendariz.com of any unauthorized access or use of your account.
- Accept responsibility for all activity that occurs under your account.
Two-factor authentication is available on every account and we recommend enabling it. It is your choice to turn on; we do not require it.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
4. Teammates, Operators, and Business Accounts
The Service is organized around a business account. If you create or administer a business account, you may invite other people (“teammates”) to it and assign them roles and permissions.
- You control the account. As the account owner or administrator, you control what teammates can see and do, and you may remove them at any time. You are responsible for their use of the Service under your account.
- Activity is recorded and attributed. Work performed in the Service — restocks, routes driven, mileage logged, inventory adjustments, receipts uploaded — is recorded and attributed to the teammate who performed it, by display name, and is visible to you and to other teammates with the relevant permission. This includes records of which teammate drove which route, when, and the mileage they reported.
- Your responsibility to your teammates. By inviting someone, you represent that you have the authority to do so and that you have given them any notice required by law about this recording and attribution, including any applicable employee-monitoring or workplace-privacy notice. You are the party responsible to your teammates for that, not us.
- Every teammate agrees to these Terms. An invitation you send is the only way that person can obtain access (Section 2), and accepting it binds them to these Terms in their own right. Their access lasts only as long as you and we allow: you may remove them at any time, and removing them ends their access to your business account immediately.
5. Subscription Plans, Fees, and Renewal
The Service is offered under a freemium model that may include a free tier and one or more paid subscription tiers. The features, usage limits, and level of support available to you depend on the tier you use.
- Free Tier. The free tier is provided at no cost and on an “as-is” and “as-available” basis. We are under no obligation to provide customer support, service-level commitments, uptime guarantees, response times, or dedicated assistance to free-tier users. Any support extended to free-tier users is provided at our sole discretion and may be limited, delayed, or unavailable.
- Paid Tiers. Paid subscribers are entitled only to the features and level of support expressly described in the plan they purchase. Any support commitments apply solely to active, paid accounts in good standing and are governed by the applicable plan terms.
Billing. Paid plans are billed in advance for the billing period you select (monthly or annual) through our payment processor, Stripe. Prices are stated in U.S. dollars and exclude any applicable taxes, which are your responsibility. You authorize us and Stripe to charge your selected payment method for all fees due.
Automatic renewal. Paid subscriptions renew automatically at the end of each billing period, at the then-current price for your plan, and your payment method will be charged, until you cancel. You may cancel at any time from the billing portal in your account settings. Cancellation takes effect at the end of the billing period that is already paid for — you keep access until then, and you are not charged again.
Plan changes. Upgrades take effect immediately and are prorated against the remainder of your current period. Downgrades take effect at the end of the current billing period.
Refunds. Except where a refund is required by applicable law, fees already paid are non-refundable, including for partial billing periods and for periods during which you did not use the Service. We do not provide refunds or credits for downgrades taken mid-period.
Price changes. We may change our prices. If we increase the price of a plan you are subscribed to, we will give you at least thirty (30) days’ notice by email before the change takes effect, and the new price will apply beginning with your next renewal. If you do not agree, you may cancel before that renewal.
Non-payment. If a charge fails, we may retry it, and we may suspend or downgrade your account until payment is resolved.
We reserve the right to establish, modify, throttle, or discontinue any tier, feature, usage limit, price, or support level at any time. Features available on the free tier may be limited or removed and may differ materially from those available on paid tiers. Nothing in these Terms obligates us to offer the free tier indefinitely.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any local, state, national, or international law.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service.
- Obtain or attempt to obtain access other than through an invitation issued to you — including sharing your credentials, using an invitation issued to someone else, or circumventing any control on account creation (Section 2).
- Interfere with, disrupt, or create an undue burden on the Service or its infrastructure.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use automated scripts, bots, or scrapers to access or collect data from the Service without our express written permission.
- Upload or transmit viruses, malware, or any other harmful code.
- Upload or submit content that infringes someone else’s intellectual property or privacy rights, that is unlawful, or that contains another person’s personal information without a lawful basis for sharing it.
7. User Data and Content
You retain ownership of any data you submit to the Service (e.g., product information, pricing, layouts, receipts, mileage records). By using the Service, you grant us a limited, non-exclusive license to process, store, and display your data as necessary to provide, secure, support, and improve the Service.
You are solely responsible for the accuracy of data you input. We do not verify or endorse user-submitted data.
8. Shared and Published Content
Parts of the Service let you publish content beyond your own business account — for example, publishing a planogram or layout so that other Vendariz businesses can view and copy (“fork”) it. This is entirely optional and off by default; content you create stays private to your business account unless you choose to publish it.
- What publishing grants. When you publish content, you grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, and display that content within the Service, and you grant other Vendariz users a license to view it and to copy it into their own account for their own business use. You keep ownership of what you published.
- Forks are independent. A copy another user makes becomes their own working record. It does not update when you change yours, and unpublishing your content does not delete copies already made. Choose accordingly.
- Attribution. Published content may display your business name or a creator display name if you enable that option. We remove the identifying details of your own operation — such as which of your locations the content came from — before showing it to anyone else.
- You must have the rights. You represent that you own or have permission to publish anything you publish, and that doing so does not violate anyone else’s rights or any agreement you are under, including agreements with your suppliers.
- We may remove it. We may remove or unpublish shared content at any time, including in response to a complaint, without notice.
Copyright complaints. If you believe content on the Service infringes your copyright, send a notice with the information required by the Digital Millennium Copyright Act (17 U.S.C. § 512) to legal@vendariz.com. We terminate the accounts of repeat infringers.
9. Data, Analytics, and Business Use
By using the Service — and in particular by using the free tier — you acknowledge and agree that we collect and analyze data about how the Service is used, as more fully described in our Privacy Policy. We may use this data for our business purposes, including to operate, secure, and improve the Service, to generate insights and analytics, and — in aggregated or de-identified form that does not identify you or your business — to pursue business opportunities such as partnerships, collaborations, distribution relationships, and advertising. We do not sell your personal information. You acknowledge that access to the free tier is provided in part in consideration of this data collection and use.
10. Automated Processing and AI Features
Some features use automated processing, including third-party artificial intelligence services, to save you typing. For example, when you upload a receipt image, the image or text extracted from it is sent to a third-party AI provider to identify the vendor, date, totals, and line items. Route planning uses third-party mapping and optimization services.
- Automated output is a draft for you to review. It may be incomplete or wrong, and we surface a confidence indicator where we can. You are responsible for reviewing and correcting it before relying on it.
- We do not make any decision about you that produces a legal or similarly significant effect solely by automated means.
- See the Privacy Policy for which providers receive this data.
11. Connected Sales Feeds and Hardware
The Service can read sales and meter data from unattended-retail hardware and telemetry providers — for example a card reader or payment platform you already use. Connecting one is optional and entirely your choice.
- Your credentials, your account. A connection is made with an API credential you generate in your own provider account and supply to us. You represent that you are entitled to use that credential and to authorize us to read the data it exposes. You may disconnect at any time, and you should revoke the credential in the provider’s own console when you do.
- We read; we do not write. These connections are read-only. Nothing in the Service changes prices, configuration, or any other setting in a connected provider account, and we do not act as your agent with that provider.
- We are not responsible for the provider. Availability, accuracy, completeness, and timeliness of the data are the provider’s. Feeds break, lag, and change without notice. Figures the Service derives from imported data are only as good as the data (Section 14), and a gap in a feed is not a warranty claim against us.
- Their terms apply too. Your relationship with the provider is governed by your agreement with them. If that agreement forbids the access you are granting us, do not connect it.
12. Public Feedback Codes and Refunds
The Service can generate a QR code for you to display on a market, which opens a public page where a shopper can report a problem or request a product. If you use this feature:
- You decide to display it. Where you post the code, and what you tell shoppers about it, is your decision and your responsibility — including any signage, disclosure, or notice your location, landlord, or local law requires.
- The shopper is your customer, not ours. We host the form and deliver what is submitted to your account. Responding, resolving, and any service you offer as a result are between you and that person. We are not a party to it and take no responsibility for the outcome.
- Refunds are recorded, not processed. Where the Service lets you mark that a refund was given, it is recording an entry in your books — the amount, the method you used, and a reference. Vendariz does not move money to a shopper and never handles a shopper payment. Whether to refund anyone, and how, is entirely yours.
- What shoppers submit. The form asks for as little as possible and contact details are optional. Do not configure, label, or use it to collect payment card numbers, government identifiers, or any other sensitive personal information. What we collect from a shopper and how long we keep it is set out in our Privacy Policy.
13. Mobile Applications, Location, and Notifications
The Vendariz mobile applications are covered by these Terms in full, plus the terms of the app store you installed from. Three things work differently on a phone and are worth stating plainly:
- Location. Route and mileage features use your device location only while you are using the app. We do not request or use background location tracking. You grant the permission at the operating-system level and can withdraw it there at any time; the rest of the app keeps working without it, and the affected features fall back to distances you enter yourself.
- Working offline. Restock sessions, trips, and mileage recorded without a signal are stored on the device and sent when connectivity returns. Until that sync completes the record exists only on your phone — it is not backed up by us, and losing or wiping the device loses it.
- Notifications. We may send you service messages by email about your account, your plan, security, and these Terms; those are part of the Service and are not marketing. Operational alerts and push notifications are configurable, and push can be turned off in your device settings.
14. Data Accuracy, Financial Estimates, and Tax
The Service may provide financial estimates, cost calculations, profit projections, stockout and demand estimates, and other analytical outputs. These are provided for informational purposes only, are derived from data you entered, and should not be relied upon as financial advice. You are solely responsible for verifying all costs, revenue figures, and business decisions. We make no guarantees as to the accuracy of any projections.
Vendariz is a record-keeping tool, not a tax advisor. Mileage logs, cost entries, receipts, and reports reflect what you entered and classified. We do not determine whether any trip, mile, cost, or expense is deductible or otherwise allowable, we do not calculate deductions, and we do not represent that any record produced by the Service satisfies the requirements of the Internal Revenue Service or any other tax or regulatory authority. Nothing in the Service is tax, accounting, or legal advice. Records generated by the Service are not a substitute for original receipts or invoices. Consult a qualified tax professional about your own situation and about what records you are required to keep.
15. Intellectual Property
All content, features, functionality, trademarks, logos, and software comprising the Service are owned by the Company and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
16. Third-Party Services
The Service integrates with third-party services — authentication, payment processing, mapping and routing, email delivery, AI providers, and the unattended-retail telemetry providers described in Section 11. We are not responsible for the content, privacy practices, availability, or terms of any third-party service. Your use of such services is at your own risk and subject to their respective terms. Every provider that receives data, and what each one receives, is listed in our Privacy Policy.
17. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time — account owners can delete a business account from account settings, or you can contact us at support@vendariz.com. Upon termination:
- Your right to use the Service ceases immediately.
- Any fees already paid are non-refundable, as described in Section 5, and no further charges will be made after your subscription ends.
- We handle your data as described in the Data Retention section of our Privacy Policy. Some records are removed on a schedule rather than immediately, and some are retained where we are required or permitted to keep them.
- Content you previously published to other Vendariz users, and copies other users already made of it, may remain in their accounts as described in Section 8.
- Sections of these Terms that by their nature should survive termination will remain in effect (including limitation of liability, indemnification, and governing law).
Export your data before you go. The Service provides export tools for mileage, financial statements, inventory, and history. Export anything you need to keep before terminating your account.
18. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY AUTOMATED OR AI-ASSISTED OUTPUT, ESTIMATE, ROUTE, OR REPORT WILL BE ACCURATE OR COMPLETE. WITHOUT LIMITING THE FOREGOING, THE FREE TIER IS PROVIDED WITHOUT ANY WARRANTY OR SUPPORT COMMITMENT OF ANY KIND. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU USE THE SERVICE ON A FREE TIER AND HAVE PAID US NOTHING, OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
20. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, content you publish through the Service, your violation of any rights of a third party, or your relationship with any teammate you invite to your account.
21. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. You agree that any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts.
Talk to us first. Before filing a claim, please email legal@vendariz.com describing the problem and what you would like us to do. Most issues are resolved this way, and we ask for thirty (30) days to try.
Time limit. To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred.
22. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we do, we will revise the “Last updated” date and the version at the top of this page. For material changes, we will make reasonable efforts to notify you in advance by email or through the Service.
How we ask. When the version of these Terms changes, the next time you open the Vendariz web or mobile app we will show you a notice and ask you to confirm you agree before you continue. We record which version you accepted and when. If you would rather not agree, you can sign out instead — your account and your data are unaffected by declining, and you can accept later. You can see the version you accepted, and the date, on your Account page at any time. Where we have not yet been able to ask you, your continued use of the Service after a change constitutes your acceptance of the revised Terms.
If you have a question rather than an answer. Agreeing and signing out are both final, and you may simply want to ask us something first. The notice shows an email address for that reason — support@vendariz.com — and it reaches us even while the notice is waiting, because our in-app help desk sits behind it. Write to us and we will answer before you decide. Nothing changes about your account while you wait.
23. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
24. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Service and supersede any prior agreements. These Terms apply to the Vendariz web application and the Vendariz mobile applications alike.
25. Contact
If you have questions about these Terms, please contact us at legal@vendariz.com. For privacy requests, use privacy@vendariz.com. For help with your account, use support@vendariz.com.
If you are being asked to accept an updated version of these Terms in the app and you have a question or a problem with it, write to support@vendariz.com — that is the address the notice itself shows, and it is monitored. You do not need to work out which of the three inboxes above applies; we will route it.
